Terms of Service - LexHD

LexHD Legal Videography Services



Effective Date: 01/01/2026

I. Preamble and Statement of Authority

These Terms of Service (“Terms”) govern the access to and use of the website located at lexhd.com, as well as all professional services provided by LexHD (“LexHD,” “we,” “us,” or “our”), including but not limited to legal videography, remote deposition services, post-production services, and related litigation-support offerings.

By accessing this website, scheduling services, or engaging LexHD in any professional capacity, you (“Client,” “you,” or “your”) acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree to these Terms, you may not access the website or engage LexHD services.


II. Nature of Services and Professional Role

LexHD provides technical, recording, and production services exclusively in support of legal proceedings.

LexHD does not provide legal advice, legal representation, litigation strategy, or opinions of law.

LexHD acts as a neutral, non-advocacy service provider whose sole function is to accurately, professionally, and securely capture, preserve, and process audiovisual records in accordance with client instructions, court rules, and applicable law.

Nothing in these Terms shall be construed to create:

  • An attorney-client relationship
  • A fiduciary relationship
  • An agency relationship
  • A partnership or joint venture


III. Client Responsibilities

The Client is solely responsible for:

  • Confirming the permissibility of recording under applicable law
  • Obtaining all required consents, stipulations, or court orders
  • Ensuring compliance with jurisdictional rules governing videography
  • Providing accurate scheduling, participant, and proceeding information
  • Reviewing deliverables for legal sufficiency prior to use

LexHD relies upon Client representations and shall not be liable for legal deficiencies arising from incomplete, inaccurate, or unauthorized instructions.


IV. Scheduling, Modifications, and Cancellations

Scheduling is subject to availability and confirmation by LexHD.

Clients must promptly notify LexHD of any changes to time, location, format (in-person, remote, hybrid), or scope of services.

Cancellations, reschedules, or late modifications may be subject to fees as outlined in the applicable service agreement, confirmation, or invoice.

LexHD reserves the right to decline or discontinue services where conditions compromise safety, legality, technical feasibility, or professional integrity.


V. Fees, Payment, and Billing

Fees for services are communicated prior to or contemporaneously with service delivery.

Unless otherwise agreed in writing:

  • Payment is due according to the terms stated on the invoice
  • Late payments may incur administrative or collection charges
  • Client is responsible for all applicable taxes

LexHD reserves the right to withhold deliverables for non-payment, consistent with applicable law.


VI. Recording Integrity and Limitations

LexHD employs professional-grade equipment, redundancy protocols, and industry-standard procedures to preserve the integrity of recordings.

However, Client acknowledges that:

  • Recording environments may be outside LexHD’s control
  • Participant behavior, network conditions, or third-party platforms may affect quality
  • Absolute perfection cannot be guaranteed

LexHD shall not be liable for issues arising from factors beyond its reasonable control.


VII. Ownership and Use of Recorded Materials

All legal recordings produced by LexHD are the property of the Client, subject to payment in full.

LexHD retains no ownership interest in the substantive legal content of recordings.

LexHD may retain copies solely for:

  • Backup and redundancy
  • Quality assurance
  • Legal compliance
  • Dispute resolution

LexHD shall not use recordings for marketing, demonstration, or training purposes without express written authorization.


VIII. Confidentiality Obligations

LexHD maintains strict confidentiality with respect to all client materials.

Access to recordings and data is limited to authorized personnel and systems.

Disclosure shall occur only:

  • At Client direction
  • As required by law or court order
  • As necessary to perform contracted services

LexHD’s confidentiality obligations survive termination of services.


IX. Data Security and Technology

LexHD utilizes commercially reasonable safeguards to protect data, including encryption, access controls, and secure transfer methods.

Client acknowledges that no system is immune to risk and agrees that LexHD is not liable for unauthorized access absent gross negligence or willful misconduct.


X. Limitation of Liability

To the fullest extent permitted by law:

LexHD shall not be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of case value, lost profits, or reputational harm.

LexHD’s total liability, if any, shall not exceed the amount paid for the specific service giving rise to the claim.


XI. Indemnification

Client agrees to indemnify and hold harmless LexHD from any claims, liabilities, damages, or expenses arising from:

  • Unauthorized or unlawful recording
  • Client misuse of recordings
  • Failure to obtain required consents
  • Violations of court rules or privacy laws
  • Inaccurate or incomplete instructions

This obligation survives termination.


XII. Force Majeure

LexHD shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to:

  • Natural disasters
  • Power outages
  • Network failures
  • Government actions
  • Labor disruptions


XIII. Governing Law and Venue

These Terms shall be governed by the laws of the United States and the state in which LexHD is principally located, without regard to conflict-of-law principles.

Venue for any dispute shall lie exclusively in courts of competent jurisdiction therein.


XIV. Modifications to Terms

LexHD reserves the right to update these Terms at any time.

Continued use of the website or services constitutes acceptance of revised Terms.


XV. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.


XVI. Entire Agreement

These Terms, together with any service-specific agreements or confirmations, constitute the entire agreement between LexHD and Client regarding the subject matter herein.
